Terms of Service

By accessing or using the CLADAL platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

• You must be at least 16 years of age to use the Service. By using CLADAL, you represent and warrant that you meet this age requirement.
• If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" and "your" refer to that organization.
• Your continued use of the Service after any modifications to these Terms constitutes acceptance of those changes.

CLADAL is an AI-powered deep research and report generation platform that delivers professional-grade research reports.

• The Service uses a multi-agent AI system that autonomously researches, verifies, and synthesizes information from publicly available sources into structured reports.
• Reports include citations, confidence scores, and source verification where applicable.
• The Service is available in multiple subscription tiers, each offering different levels of access and report generation capacity.
• CLADAL reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To use the Service, you must create an account and provide accurate, complete information.

• You agree to provide truthful and current registration information and to update such information to keep it accurate.
• You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits or for any other purpose is prohibited.
• You must immediately notify CLADAL at support@cladal.com if you become aware of any unauthorized access to or use of your account.

CLADAL offers the following subscription plans, billed on a monthly basis:

• Subscriptions are billed in advance on a monthly cycle and automatically renew unless cancelled before the next billing date.
• You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service through the end of your current billing period.
• No refunds will be issued for partial months of service. Unused reports do not roll over to the next billing period.
• CLADAL reserves the right to change pricing with 30 days prior notice. Price changes will take effect at the start of your next billing cycle following the notice period.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service to conduct research for illegal purposes or to generate content that promotes violence, discrimination, or any form of harm.
• Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying models of the AI system.
• Engage in automated scraping, systematic downloading, or excessive API usage beyond the limits of your subscription tier.
• Share, transfer, or sell your account credentials to any third party.
• Resell, redistribute, or repackage CLADAL-generated reports as your own research service or consultancy output without proper attribution.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.

• Reports are generated by AI and may contain factual errors, omissions, outdated information, or inaccuracies. CLADAL does not guarantee the accuracy, completeness, or timeliness of any generated content.
• CLADAL reports are not a substitute for professional legal, medical, financial, or investment advice. Always consult qualified professionals before making critical decisions based on AI-generated research.
• Users are solely responsible for independently verifying any critical findings, data points, or conclusions presented in reports before acting upon them.
• Confidence scores and verification indicators provided in reports are indicative estimates and should not be treated as guarantees of accuracy.
• Sources cited in reports are algorithmically selected and may not represent the most authoritative or comprehensive references available on a given topic.

• Your content: You retain full ownership of your research queries, input data, and the generated report content produced through your use of the Service.
• Our platform: CLADAL retains all ownership rights in the platform, including its software, algorithms, AI models, user interface, design, and documentation.
• Limited license: By submitting queries, you grant CLADAL a limited, non-exclusive license to process your queries solely for the purpose of delivering the Service. This license terminates upon account closure.
• CLADAL does not claim ownership of user-generated reports. You are free to use, distribute, and modify your reports as you see fit, subject to the restrictions in Section 5.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

• All research data, queries, and generated reports are private to your account and are not accessible by other users.
• Your data is not used to train, fine-tune, or improve AI models. Your research remains confidential.
• We implement industry-standard security measures to protect your data. For full details, please refer to our Privacy Policy.

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• CLADAL shall not be liable for any decisions made or actions taken based on the content of AI-generated reports. Users assume full responsibility for the use of generated content.
• In no event shall CLADAL's total aggregate liability exceed the total fees paid by you to CLADAL during the twelve (12) months immediately preceding the event giving rise to the claim.
• In no event shall CLADAL be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the theory of liability.

• You agree to indemnify, defend, and hold harmless CLADAL, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
• CLADAL will promptly notify you of any claim subject to indemnification and will provide reasonable cooperation in the defense of such claim at your expense.

• You may close your account and terminate these Terms at any time by contacting us at support@cladal.com or through your account settings.
• CLADAL may suspend or terminate your access to the Service if you violate these Terms, with reasonable notice where practicable. In cases of severe or repeated violations, termination may be immediate.
• Upon termination, your right to access the Service ceases immediately. Your data will be deleted in accordance with our data retention policy as described in the Privacy Policy.
• Sections 6, 7, 9, 10, 12, and 14 survive termination of these Terms.

• Good faith negotiation: In the event of any dispute arising from these Terms or the Service, the parties agree to first attempt resolution through good faith negotiation for a period of thirty (30) days following written notice of the dispute.
• Binding arbitration: If the dispute cannot be resolved through negotiation, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
• Small claims exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
• Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

• CLADAL reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' notice before any material changes take effect.
• Notice of changes will be provided via email to the address associated with your account and through a prominent notice on the Service.
• Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Service.

• Governing law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• Waiver: The failure of CLADAL to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and CLADAL regarding the Service and supersede all prior agreements and understandings.
• Force majeure: CLADAL shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet outages, or third-party service failures.
• Assignment: You may not assign or transfer these Terms without CLADAL's prior written consent. CLADAL may assign its rights and obligations under these Terms without restriction.
